DeWitt & Company, Inc.("DeWitt"), consisting of information services and
content provided by DeWitt, affiliates of DeWitt, and third parties.

This Agreement sets forth the terms and conditions that apply to your use of
DeWitt & Company, Inc Online. By accessing DeWitt & Company, Inc Online
you are deemed to have agreed to comply with all of the terms and conditions of
this Agreement. The right to use DeWitt & Company, Inc Online is personal to
you and is not transferable to any other person or entity. You are responsible
for all use of your Account under any user ID (username) or password by any
person and for ensuring that all use of your Account complies fully with the
provisions of this Agreement. You are responsible for protecting the
confidentiality of your password.

DeWitt shall have the right at any time to change or modify the terms and
conditions applicable to your use of DeWitt & Company, Inc. Online or to
impose new conditions with respect to such use. DeWitt shall have the right at
any time to change or discontinue any aspect or feature of DeWitt & Company,
Inc Online, including but not limited to content, functionality, and equipment
needed for access or use. Such changes, modifications, or additions shall be
effective immediately upon notice thereof, which may be given by means including
but not limited to posting on DeWitt & Company Online, electronic or
conventional mail, or any means by which you obtain actual knowledge.

DeWitt & Company, Inc Online contains copyrighted material, trademarks, and
other proprietary information. Use by non-clients for commercial redistribution
is expressly prohibited.

DeWitt provides its material on a best efforts basis. Neither DeWitt, its
affiliates, nor any third-party content providers makes any warranty whatsoever,
including without limitation: that the operation of DeWitt & Company Online
will be uninterrupted or error-free; as to the results that may be obtained from
use of DeWitt & Company Online; or as to the accuracy, reliability,
availability, suitability, quality, or operation of any information, software,
or service provided on or accessible from DeWitt & Company, Inc. Online.
DeWITT & COMPANY, INC. ONLINE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY
KIND, EXPRESS OR IMPLIED. YOUR USE OF DeWITT & COMPANY, INC. ONLINE IS AT
YOUR SOLE RISK. IN NO EVENT SHALL DeWITT BE LIABLE FOR ANY INDIRECT, SPECIAL,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO DeWITT &
COMPANY INC. ONLINE, EVEN IF DeWITT WAS PREVIOUSLY ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES. In the event any claim relating to the performance or
nonperformance by DeWitt pursuant to this Agreement, or in any other way
concerning DeWitt & Company, Inc. Online, is made by you, the actual damages
to which you may be entitled shall be limited to the fees paid by you for DeWitt
& Company, Inc. Online.

You agree to defend, indemnify, and hold harmless DeWitt, its affiliates, and
their respective directors, officers, employees, and agents from and against all
claims and expenses, including attorneys' fees, arising out of the use of DeWitt
& Company, Inc. Online by you or your Account.
